Payment Terms Last updated: December 2023

The following terms (these “Payment Terms”) govern payments made or received through the Peel Fitness app and www.peelfitness.com (the “Site”), operated by Peel Fitness S.L.

Please read these Payment Terms carefully before making or receiving payments through the App. By making or receiving payments through the App, you accept and agree, on behalf of yourself or your organization, to be bound and abide by these Payment Terms. These Terms are supplemental to Peel Fitness's General Terms of Service and Coach Guidelines, as applicable (collectively, the “Terms of Service”).

Key Terms

Capitalized terms used but not defined herein shall have the respective meanings given to them in the Terms of Service.

Peel Balance: The aggregated amount of your Revenue as a Coach and/or returned payments from canceled coaching programs.
Payment Services Provider(s): Service providers that facilitate payment services for Coaches and Users on the Peel Fitness platform.
Revenue: The compensation that Coaches earn from completed coaching programs and can withdraw or use within Peel Fitness, subject to these Terms.

2. Receiving Payments

2.1 General

Each coaching program you successfully complete accredits your account with revenue equal to 70% of the programfee.

If a coaching program is canceled (for any reason), the funds paid will be returned to the User’s Peel Balance.

Coaches are responsible for any direct or indirect taxes applicable to them based on residency, location, or otherwise, under the provisions of their jurisdiction.

Appointment as Limited Payment Collection Agent: Coach hereby appoints Peel Fitness as Coach’s limited authorized payment collection agent solely for the purpose of accepting payments (via its Payment Services Provider, if applicable) from Users and remitting those payments to Coach. Coach agrees that payment from User to Peel Fitness shall be considered the same as made directly to Coach. User’s payment obligation to Coach will be satisfied upon receipt of payment by Peel Fitness (or its Payment Services Provider, as applicable), and Peel Fitness (via its Payment Services Provider, as applicable) is responsible for remitting the funds to Coach as described in these Payment Terms.

Peel Fitness partners with Payment Services Providers for collecting payments from Users, transferring such payments from Users to Coaches, and holding funds in connection with Peel Balances.

2.2 Withdrawing Revenues

To withdraw your revenue, you must have an account with at least one of Peel Fitness's Payment Service Providers. All funds eligible for withdrawal will be held on your behalf at an account with Peel Fitness’s Payment Services Provider.

Revenues are made available for withdrawal from the Revenue page following a safety clearance period after the coaching program is marked as complete.

Coaches may withdraw their revenues using one of Peel Fitness’s withdrawal options (see Withdrawal Section below regarding payment terms). Withdrawals can only be made in the amount available to you.

Withdrawal fees vary depending on the withdrawal method.

3. Withdrawal Methods

Withdraw to your Bank Account – charges will vary for your location.

4. Coaching Session Payments

4.1 General

Users pay Peel Fitness to book a coaching program with a Coach. Peel Fitness partners with Payment Services Providers to collect all payments from Users, transfer such payments from Users to Coaches, and hold funds in connection with Peel Balances.

Peel Fitness serves as Coach’s limited authorized payment collection agent solely for accepting payments (via its Payment Services Provider, if applicable) from Users and remitting those payments to Coach. User’s payment obligation to Coach will be satisfied upon receipt of payment by Peel Fitness (or its Payment Services Provider, as applicable), and Peel Fitness (via its Payment Services Provider, as applicable) is responsible for remitting the funds to Coach as described in these Payment Terms.

In most locations, purchases on Peel Fitness can be made using Credit Card, PayPal, or Peel Fitness Balance. Additional payment methods may apply in certain locations.

Service fees are added at the time of purchase where you can review and accept the total amount requested to pay. These fees cover administrative fees. The service fees are 10% of the coaching program fee.

Your existing Peel Fitness Balance will be automatically applied to your next coaching program purchase.

Users may not offer Coaches to pay, or make payment using any method other than through the Peel Fitness site.

You agree to receive invoices and/or payment receipts from Peel Fitness in electronic form as PDF documents, by email or through the Site.

To protect against fraud, unauthorized transactions, claims, or other liabilities, payment information in connection with withdrawals is collected by either Peel Fitness or Peel Fitness’s Payment Services Providers. Payment Services Providers may also collect other information necessary for processing withdrawal payments.

By using any payment method and/or providing payment details for making purchases on Peel Fitness, you represent and warrant that: (a) you are legally authorized to provide such information; (b) you are legally authorized or have permission to make payments using the payment method(s); (c) if you are an employee or agent of a company or person that owns the payment method, you are authorized by that company or person to use the payment method to make payments on Peel Fitness; and (d) such actions do not violate any applicable law.

5. Taxes

Peel Fitness may be required by applicable laws to charge Users with indirect taxes (such as Sales Tax, VAT, or GST) or to withhold taxes. Any amount Peel Fitness will be required to collect will be in addition to the coaching program fee, and any amount Peel Fitness will be required to withhold will be deducted from the Coach’s revenue, as required by applicable laws.

Indirect taxes are in addition to the price shown on the site, and any such taxes will always be displayed to the User before payment.

Coaches are responsible for paying any direct or indirect taxes, including any GST, VAT, or income tax, which may apply to them depending on residency, location, or otherwise, under provisions of their jurisdiction.

6. Disputes and Cancellations

We encourage Users and Coaches to try and settle conflicts amongst themselves. If this fails or if there's non-permitted usage on the Site, users can contact Peel Fitness's Customer Support for assistance.

6.1 Basics

Order cancellations can be performed on Peel Fitness when eligible, by Peel Fitness (via Customer Support or otherwise).

Filing a transaction dispute or reversing a payment through your payment provider or your bank is a violation of these Payment Terms.

Peel Fitness reserves the right to cancel coaching programs or place funds on hold for any suspected fraudulent transactions made on the app.

All transfer and assignment of intellectual property to the User shall be subject to full payment, and the delivery may not be used if payment is canceled for any reason.

If a coaching program is canceled (for any reason), the funds paid will be returned to the User’s Peel Balance.

Requesting to gain more services from Coaches beyond the agreed requirements is not allowed.

6.2 Coaching Program Cancellations

Peel Fitness encourages Users and Coaches to resolve service disputes mutually using the customer support.

Eligibility for requests to Peel Fitness to cancel a coaching program will be assessed by Peel Fitness based on various factors, including violations of our Terms of Service, general misconduct, and improper usage of the Peel Fitness platform.

Coaching programs may be canceled, upon review of our Customer Support team, up to 14 days after the session is marked as complete. Please be advised that coaching program cannot be partially canceled.

In rare circumstances where we find it appropriate, our Customer Support team may cancel a coaching program even after 14 days have passed from its completion.

Coaching programs are not eligible to be canceled based on the quality of service/materials delivered by the Coach if the service was rendered as described on the Coach's profile. Users may rate their experience with the Coach on the app, including the overall level of service quality received.

You must use Peel Fitness customer support to address your concerns and desired resolution related to the service provided by their Coach.

Any non-permitted usage of Peel Fitness encountered during a coaching program, after being reviewed by our Customer Support team, may result in the program being canceled. This includes, but is not limited to; harassment, unlawful behavior, or other violations of Peel Fitness’s Terms of Service.

Peel Fitness will cancel coaching program based on, but not limited to, the following reasons:

Users are abusive towards the other party through threats of low ratings or leveraging order materials against each other.
Users supplied or included copyright/trademark infringing materials as part of their requirements or the Coach’s delivery.
Users are no longer active Peel Fitness users due to Terms of Service violations or closure of their account.

6.3 Chargebacks

Peel Fitness reviews cases of payment provider chargebacks and disputes on behalf of Coaches. Results vary per case due to each chargeback reason.

6.4 Refunds

Peel Fitness does not automatically refund payments made for canceled coaching programs back to your payment provider. Funds from coaching session cancellations are returned to the User's Peel Balance and are available for future coaching session purchases on Peel Fitness.

Refunds from the User’s Peel Balance (i.e., refunds directly to the payment provider) can be requested from the contact us form. The refund will be based on the User’s payment method(s), amount, and currency. Such refunds may be subject to an additional fee.

7. General Terms

7.1 Modifications

Peel Fitness may make changes to these Payment Terms from time to time. When these changes are made, Peel Fitness will make a new copy of the terms available on this page.

You understand and agree that if you use Peel Fitness after the date on which the Payment Terms have changed, Peel Fitness will treat your use as acceptance of the updated Payment Terms.

7.2 Disclaimer of Warranties

YOUR USE OF THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER PEEL FITNESS NOR ANY PERSON ASSOCIATED WITH PEEL FITNESS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE. WITHOUT LIMITING THE FOREGOING, NEITHER PEEL FITNESS NOR ANYONE ASSOCIATED WITH PEEL FITNESS REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

7.3 Governing Law and Jurisdiction All matters relating to the Site and these Payment Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of Spain.
